Welcome to LightCo Depot. This website and online store are operated by Valuxe Lighting LLC, doing business as LightCo Depot. The terms “LightCo Depot,” “we,” “us,” and “our” refer to Valuxe Lighting LLC, doing business as LightCo Depot.
LightCo Depot operates this website and store, including all related information, content, features, tools, products, and services provided to you (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services.
These Terms of Service, together with any policies referenced in them, describe your rights and responsibilities when accessing or using the Services.
Please read these Terms carefully. They contain important information concerning your legal rights, warranty disclaimers, limitations of liability, and dispute procedures.

When using the Services or placing an order, you may be required to provide information including your name, email address, billing information, payment information, and shipping address. You represent that all information you provide is accurate, current, and complete and that you have the legal right to provide it.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.
SECTION 2 – OUR PRODUCTS
We make reasonable efforts to provide accurate product descriptions, specifications, dimensions, colors, images, and other information. However, product appearance and color may vary depending on your screen, device settings, lighting conditions, and normal manufacturing tolerances.
Product dimensions, lumen output, wattage, color temperature, beam angle, and other specifications are provided for general reference and may be subject to reasonable manufacturing tolerances unless expressly stated otherwise.
Compatibility is the customer’s responsibility unless LightCo Depot confirms compatibility in writing. Magnetic track products must be used with compatible DC48V tracks, drivers, connectors, fixtures, and accessories. Mixing incompatible components or products from different systems may result in malfunction, damage, or unsafe operation.
Product descriptions, prices, specifications, availability, and designs may be changed without prior notice. We reserve the right to discontinue products or limit quantities offered to any person, project, geographic area, or jurisdiction.
SECTION 3 – ORDERS
When you place an order, you are making an offer to purchase. We reserve the right to accept, decline, limit, modify, or cancel an order when reasonably necessary, including because of product availability, pricing or listing errors, suspected fraud, payment issues, shipping limitations, or other operational reasons.
An order is not accepted until payment has been successfully processed and we confirm acceptance. Please review your order carefully before submitting it because changes or cancellations cannot be guaranteed after processing begins.
If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number supplied with the order.

Products may be purchased for personal, residential, contractor, commercial, or project use. Products may not be purchased for unauthorized resale, redistribution, or export unless LightCo Depot agrees separately in writing.
SECTION 4 – PRICES, TAXES, AND BILLING
Prices, discounts, promotions, and product availability may change without notice. The price charged will be the price displayed when the order is submitted, subject to correction of errors as permitted by applicable law.
Unless expressly stated otherwise, listed prices do not include taxes, shipping, handling, freight, customs, or other applicable charges. Shipping costs are calculated during checkout based on destination, product dimensions, weight, shipping method, and number of packages.
Prices offered online may differ from prices offered through other sales channels, physical locations, contractors, promotions, or third parties.
You agree to provide current, complete, and accurate purchase, payment, and account information. You represent that you are authorized to use the payment method submitted and that all charges incurred will be honored by the payment provider.
SECTION 5 – SHIPPING AND DELIVERY

Processing and delivery dates are estimates and are not guaranteed. Delays may occur because of weather, carrier operations, supply interruptions, incorrect delivery information, failed delivery attempts, oversized-product requirements, or events outside our reasonable control.
Shipping charges are calculated during checkout unless a custom shipping or freight quote is provided.
Certain oversized items, including 118.2-inch magnetic tracks, may require special shipping or freight service and may incur higher charges.
Title and risk of loss transfer to the customer upon confirmed delivery to the shipping address, except where applicable law requires otherwise. Customers must provide a complete and accurate delivery address and ensure that the location is accessible.
Shipments should be inspected promptly upon delivery. Damage, missing items, or incorrect products must be reported within the time stated in our Shipping Policy and Return and Refund Policy.
SECTION 6 – INTELLECTUAL PROPERTY
The Services, including trademarks, brand names, text, graphics, product images, videos, audio, reviews, layouts, designs, and other content, are owned by or licensed to LightCo Depot and are protected by United States and international intellectual property laws.
These Terms permit you to use the Services only for lawful personal or internal business purposes. You may not reproduce, distribute, modify, republish, publicly display, transmit, sell, or exploit any part of the Services without our prior written consent.
LightCo Depot’s names, logos, product names, designs, and slogans are trademarks or trade dress belonging to LightCo Depot or its licensors. Shopify’s names and logos belong to Shopify. All other trademarks belong to their respective owners.
SECTION 7 – OPTIONAL AND THIRD-PARTY TOOLS
We may provide access to tools, applications, payment options, communication services, or other features operated by third parties.
Unless expressly stated otherwise, these tools are provided “as is” and “as available.” We do not control and are not responsible for third-party tools, and your use of them is subject to the provider’s terms and policies.
We may add new tools, resources, or features in the future. Such additions will be considered part of the Services and will be subject to these Terms.
SECTION 8 – THIRD-PARTY LINKS
The Services may contain links to third-party websites or content. We are not responsible for examining, verifying, or guaranteeing the accuracy, security, availability, or practices of third-party websites.
If you access a third-party website, you do so at your own discretion. Please review that party’s terms and policies before completing a transaction or providing information.
Questions or complaints regarding third-party products or services should be directed to the applicable third party.
SECTION 9 – RELATIONSHIP WITH SHOPIFY
LightCo Depot is powered by Shopify, which enables us to provide the Services. However, purchases made through our store are transactions directly between you and LightCo Depot.
Shopify is not the seller of our products and is not responsible for the products, fulfillment, installation, compatibility, warranty service, or any injury, loss, or damage arising from a purchase from LightCo Depot.
To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from transactions between you and LightCo Depot.

SECTION 11 – FEEDBACK AND REVIEWS
If you submit feedback, suggestions, reviews, photographs, videos, ideas, or other content (“Feedback”), you grant LightCo Depot a non-exclusive, perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback for lawful business and promotional purposes.
You represent that you own or have permission to submit the Feedback, that it is accurate, and that you have disclosed any compensation or incentive received in connection with it.
Feedback must not violate intellectual property, privacy, publicity, or other rights, contain unlawful or abusive material, or introduce malware or harmful code.
We may monitor, edit, decline, or remove Feedback that violates these Terms or applicable law. We are not required to keep Feedback confidential, pay compensation for it, or respond to it.
SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS
The Services may occasionally contain typographical errors, inaccurate information, or omissions concerning product descriptions, specifications, dimensions, prices, promotions, shipping charges, availability, or delivery estimates.
We reserve the right to correct errors, update information, or cancel affected orders when reasonably necessary, including after an order has been submitted, subject to applicable law.

You may use the Services only for lawful purposes.
You may not use the Services to:

We may suspend or terminate access when we reasonably determine that these Terms have been violated.

This section applies to software or services that take autonomous or semi-autonomous actions on behalf of a person or entity (“Agents”).
Agents may access or interact with the Services only when permitted and must identify themselves accurately. Agents may not conceal their automated nature, mimic human behavior to evade safeguards, bypass CAPTCHAs, avoid access restrictions, or interfere with technical measures intended to control automated access.
We may restrict or block an Agent’s access to the Services at any time.
SECTION 15 – TERMINATION
We may suspend or terminate access to the Services when permitted by law, including for violation of these Terms, fraud, abuse, security concerns, or unlawful activity.
Termination does not eliminate amounts properly owed before termination.
Sections concerning intellectual property, feedback, warranties, limitation of liability, indemnification, governing law, and any provisions that by their nature should survive will remain in effect after termination.
SECTION 16 – DISCLAIMER OF WARRANTIES
Information provided through the Services is for general informational purposes. Although we make reasonable efforts to provide accurate information, we do not guarantee that all information will always be complete, current, or error-free.
Eligible products are covered by our One-Year Limited Warranty, and customers may purchase the optional LightCo Total Protection Plan where available. Warranty coverage, exclusions, claim procedures, and remedies are governed by our Warranty Policy:

Nothing in this section limits any express warranty provided in our Warranty Policy or any legal right that cannot be excluded under applicable law.
Except for express warranties stated in our Warranty Policy and to the fullest extent permitted by law, the Services and products are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, durability, title, or non-infringement.
We do not guarantee that access to the Services will always be uninterrupted, timely, secure, or error-free.
SECTION 17 – LIMITATION OF LIABILITY
To the fullest extent permitted by law, LightCo Depot and its owners, affiliates, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, replacement costs, project delays, loss of use, or business interruption arising from the Services or products.
LightCo Depot is not responsible for electrician fees, contractor fees, installation costs, removal costs, reinstallation costs, or damage caused by improper installation, incompatible components, unauthorized modifications, misuse, or electrical conditions outside product specifications.
Except where applicable law requires otherwise, LightCo Depot’s total liability for a claim concerning a product will not exceed the amount paid for the affected product.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
SECTION 18 – INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless LightCo Depot, Valuxe Lighting LLC, Shopify, and their respective affiliates, owners, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, or reasonable legal fees arising from:
(a) your material breach of these Terms;
(b) your violation of applicable law or another party’s rights; or
(c) your misuse of the Services.
We will provide reasonable notice of an indemnifiable claim. You agree to cooperate reasonably in its defense.
SECTION 19 – SEVERABILITY
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed when necessary.
The remaining provisions will continue in full force and effect.
SECTION 20 – WAIVER AND ENTIRE AGREEMENT
A failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms and the policies incorporated by reference constitute the entire agreement concerning your use of the Services and supersede prior communications or agreements concerning the same subject matter.
Ambiguities will not automatically be interpreted against the party that drafted these Terms.
SECTION 21 – ASSIGNMENT
You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent.
We may assign or transfer these Terms as part of a merger, reorganization, sale of assets, business transfer, name change, or other lawful transaction, subject to applicable law.
SECTION 22 – GOVERNING LAW AND VENUE
These Terms and any dispute arising from them are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Subject to any rights that cannot legally be waived, disputes will be brought in the applicable state or federal courts located in Miami-Dade County, Florida, and the parties consent to the jurisdiction of those courts.
Nothing in this section limits consumer rights or remedies that cannot be waived under applicable law.

The headings in these Terms are included for convenience only and do not limit or affect the meaning of any provision.
SECTION 24 – CHANGES TO THESE TERMS
You may review the current version of these Terms at any time on this page.
We may update or replace these Terms by posting a revised version on the website. When required by applicable law, we will provide notice of material changes.
Changes become effective on the date stated in the updated Terms. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, to the extent permitted by law.
